1. Acceptance of Terms

By accessing or using the Outgrowth platform ("Platform"), website (https://outgrowthfunnels.com), or any related services, you ("User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

These Terms constitute a legally binding agreement between you and Aarna Systems Pvt Ltd, registered at 403, Speciality Business Center, Balewadi, Pune, Maharashtra, India 411045 ("Company," "we," "us," or "our").

2. Eligibility

You must be at least 18 years of age to use the Platform.

By using the Platform, you represent that you have the legal capacity to enter into a binding agreement.

If you are using the Platform on behalf of a business, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

You must provide accurate, complete, and current information when creating an account.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Notify us immediately at [email protected] if you suspect unauthorised access to your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Platform Services

Outgrowth provides an all-in-one AI-powered sales and marketing platform, including:

CRM and contact management.

Marketing funnels, landing pages, and website builder.

Email, SMS, and multi-channel communications.

Workflow automations and appointment scheduling.

Reporting, analytics, and AI-powered tools.

We reserve the right to modify, suspend, or discontinue any feature or service at any time with reasonable notice.

5. Subscription, Billing & Payments

Access to the Platform requires a paid subscription. Fees are as stated on our website and may be updated with 30 days' notice.

Subscriptions are billed in advance on a monthly or annual basis.

All fees are non-refundable except where required by applicable law or as stated in our Refund Policy.

We use PCI-compliant third-party payment processors. We do not store your full payment card details.

Failure to pay may result in suspension or termination of your account.

All prices are exclusive of applicable taxes (including GST), which will be charged separately as required by law.

6. Acceptable Use Policy

You agree not to use the Platform to:

Violate any applicable law, regulation, or third-party rights.

Send spam, unsolicited communications, or engage in deceptive marketing practices.

Transmit malware, viruses, or any harmful code.

Harvest, scrape, or collect data without authorisation.

Impersonate any person or entity.

Engage in any activity that disrupts or interferes with the Platform's operation.

Use the Platform for any illegal, fraudulent, or abusive purpose.

Violate any anti-spam laws including CAN-SPAM, CASL, or TRAI regulations (India).

7. User Content and Data Ownership

You own your data. All content, contacts, campaigns, and data you upload or create on the Platform ("User Content") remain your property.

You grant us a limited, non-exclusive, royalty-free licence to host, store, and process your User Content solely to provide the Platform services.

You are solely responsible for the legality, accuracy, and appropriateness of your User Content.

We do not sell your data to third parties. We do not use your User Content to train public or general-purpose AI models.

Upon termination, you may export your data. We will retain your data for up to 30 days post-termination before permanent deletion.

8. Data Hosting and Infrastructure

The Platform's infrastructure is hosted on leading cloud providers including Google Cloud Platform and Amazon Web Services (AWS).

Primary data centres are located in the United States.

By using the Platform, you consent to your data being transferred to and processed in the United States and other countries where our infrastructure providers operate.

We implement industry-standard security measures including TLS 1.2/1.3 encryption in transit and AES-256 encryption at rest.

9. Intellectual Property

All trademarks, logos, software, and content forming part of the Platform are the intellectual property of Aarna Systems Pvt Ltd or its licensors.

Nothing in these Terms grants you any right to use our intellectual property without prior written consent.

You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Platform.

10. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party.

This obligation survives termination of these Terms for a period of three (3) years.

11. Third-Party Services and Integrations

The Platform may integrate with third-party services (e.g., Google, Facebook, Stripe, Twilio).

Your use of such integrations is subject to the respective third party's terms and privacy policies.

We are not responsible for the practices, availability, or content of any third-party services.

12. Service Availability (Uptime)

We aim to maintain high availability of the Platform.

Planned maintenance will be communicated in advance wherever possible.

We are not liable for any loss caused by temporary unavailability due to maintenance or events outside our control.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We do not warrant that the Platform will meet your specific business requirements.

We do not warrant that results obtained through the Platform will be accurate or reliable.

14. Limitation of Liability

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Our total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the claim.

These limitations do not apply to liability arising from fraud, wilful misconduct, or gross negligence.

15. Indemnification

You agree to indemnify Aarna Systems Pvt Ltd against any claims or expenses arising from:

Your violation of these Terms or any applicable law.

Your User Content or data processed through the Platform.

Claims by your end-users or customers due to your actions or omissions.

16. Termination

By You: You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the billing period.

By Us: We may suspend or terminate your account immediately if you breach these Terms or fail to pay fees.

Upon termination, your right to access the Platform ceases immediately.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

Unresolved disputes may be referred to binding arbitration under the Arbitration and Conciliation Act, 1996.
